Terms and Conditions

The terms that govern access to and use of Bawabo.

These Terms and Conditions govern access to and use of Bawabo.

Bawabo is operated by Manyatta Interactive Solutions Limited, trading as Bawabo Visitor Management, referred to in these Terms as “Bawabo”, “we”, “us” or “our”.

By creating an account, accessing the platform or using the service, you agree to these Terms. If you are using Bawabo on behalf of an organisation, estate, office, apartment, institution or other entity, you confirm that you have authority to accept these Terms on its behalf.

1. The Bawabo service

Bawabo is a visitor-management platform that helps customers manage activities such as:

  • Registering visitors and vehicles.
  • Recording visitor entry and exit.
  • Managing appointments and expected visitors.
  • Managing locations, staff and authorised users.
  • Sending service-related notifications.
  • Managing subscriptions, trials and payments.

Features available to a customer may depend on the selected plan.

Bawabo assists with visitor administration and record-keeping. It does not replace physical security procedures, identity verification or the customer’s responsibility to decide who may enter its premises.

2. Accounts and authorised users

You must provide accurate and current information when creating or using an account.

You must be at least 18 years old and legally able to enter into these Terms. If you act for a customer, you must have authority appropriate to your role and must use the service only for that customer’s authorised purposes.

You are responsible for:

  • Keeping your account and login methods secure.
  • Ensuring that only authorised people use your account.
  • Assigning appropriate roles and permissions.
  • Informing us promptly if you suspect unauthorised access.
  • Keeping account, location and contact information updated.

Actions performed through your account will normally be treated as authorised unless you notify us of suspected misuse.

We may require account, email or telephone verification before allowing access to certain features.

3. Customer responsibilities

Customers are responsible for how Bawabo is used at their locations.

The customer must:

  • Use the service lawfully.
  • Ensure that visitor information is collected for a legitimate purpose.
  • Before collecting information, give visitors any privacy information required by applicable law, including the purpose of collection, whether a field is optional or required, and any consequence of not providing it.
  • Collect only information that is reasonably necessary.
  • Ensure that staff and other users are properly authorised.
  • Correct or remove inaccurate information where appropriate.
  • Establish suitable visitor-data retention periods.
  • Respond to requests from visitors concerning their personal information.
  • Use free-text fields only for information that is necessary and reasonably connected to visitor management.
  • Not enter full identity numbers, copies or photographs of identity documents, sensitive personal information or unrelated private information unless Bawabo has expressly agreed to support that processing and the collection is lawful.
  • Maintain appropriate physical security and access-control procedures.

The customer remains responsible for deciding whether a visitor should be admitted, refused entry or asked to leave.

4. Visitor and personal information

When customers use Bawabo to collect visitor information, the customer normally determines why the information is collected and how it will be used. The customer is therefore normally the data controller for those visitor records.

Depending on the customer’s settings and use of the service, visitor records may include names, telephone numbers, company or organisation, vehicle and driver details, destinations, appointment details, visit purpose, arrival and departure times, visit-related notes and the last four digits of a national identity number. Customers may make supported fields optional or required.

Bawabo processes the information on the customer’s behalf to provide and secure the service. Bawabo does not request or use national identity information for its own purposes, and the service is not designed to store full identity numbers or copies or photographs of identity documents.

Bawabo may separately act as a data controller for information relating to account registration, subscriptions, billing, support, security and operation of the platform.

5. Trials, subscriptions and payments

Bawabo may offer free trials, promotional periods or introductory access. Trial eligibility, duration and available features may be limited.

Unless we agree otherwise:

  • A customer may receive only one free trial.
  • We may change or withdraw the availability of trials for new customers. We may shorten or withdraw an existing trial only where reasonably necessary because of misuse, security or legal requirements, an obvious error, or circumstances that make continued trial access impracticable. Where practicable, we will give notice.
  • Access to paid features requires payment for the selected plan.
  • Each location has its own billing profile and billing-access status. Subscription charges may be based on the number of locations and the chosen billing period.
  • The applicable price and subscription period will be displayed before payment.
  • Applicable taxes and payment-provider charges may be added where required.
  • A subscription will not continue beyond its paid period unless it is renewed or an automatic-renewal arrangement has been expressly selected.

Unless the platform or a separate agreement states otherwise, the following access rules apply when a trial or paid period ends:

  • An automatically renewed subscription may receive a payment grace period after a renewal payment fails. Paid features remain available during the displayed grace period, but payment remains due.
  • A manual subscription or payment arrangement does not receive an automatic-renewal grace period unless we expressly display or agree otherwise.
  • When a trial, paid period or applicable grace period ends, the location may enter a limited-access period. New check-ins, appointments and other paid operational activity are disabled.
  • During the limited-access period, authorised location owners and location administrators may review historical records and use any data-export feature included in the applicable plan. Location staff may access only the records and actions needed to safely close existing open or flagged visits.
  • The limited-access period is normally 30 days unless another period is displayed or communicated. We may configure a different period. We will shorten an already-started limited-access period only where reasonably necessary because of misuse, security or legal requirements, an obvious error, or circumstances that make continued access impracticable and, where practicable, will give notice.
  • After the limited-access period ends, the location becomes restricted. Billing, account access, support and permitted privacy or data-cleanup actions remain available, but operational and general historical-record access remains disabled until a paid plan is restored.
  • Creating another location does not extend or restart an expired trial. A new location created after the customer’s trial has ended requires its own paid plan before operational use unless we expressly agree otherwise.

Billing access is evaluated per location. An all-location view or action may be unavailable if any included location does not have the access required for that view or action. The customer can select a specific location to use the access available for that location.

Payments are generally non-refundable once a subscription period has started, except where required by law or where we expressly agree otherwise.

Changing or cancelling a subscription does not normally result in a prorated refund for the unused part of a paid subscription period.

We may change our prices by giving reasonable notice. A price change will normally apply from the customer’s next renewal.

6. Acceptable use

You must not use Bawabo to:

  • Break any law or regulation.
  • Collect personal information without a legitimate purpose.
  • Harass, threaten, discriminate against or unlawfully monitor another person.
  • Upload malicious code or attempt to compromise the service.
  • Gain unauthorised access to another account, location or system.
  • Interfere with the performance or security of the platform.
  • Send spam or unauthorised marketing communications.
  • Copy, reverse-engineer or resell the platform without permission.
  • Enter false, misleading or unlawful information.
  • Use free-text fields to store full identity documents, sensitive personal information or information unrelated to legitimate visitor management without our prior agreement.

We may investigate suspected misuse and may restrict or suspend access where reasonably necessary.

7. Third-party services

Bawabo may use third-party providers for services such as hosting, databases, email, messaging, payment processing, security and technical support.

Your use of some features may also be subject to the terms of the relevant third-party provider.

We are not responsible for failures caused solely by a third-party service that is outside our reasonable control, but we will take reasonable steps to restore or provide the affected Bawabo service.

8. Service availability

We aim to keep Bawabo available and reliable, but we do not guarantee that the service will always be uninterrupted or error-free.

Access may occasionally be affected by:

  • Maintenance or upgrades.
  • Internet or telecommunications failures.
  • Cloud-service or payment-provider outages.
  • Security incidents.
  • Events outside our reasonable control.

We may modify, replace or discontinue a feature where reasonably necessary. Where a significant change materially reduces a paid service, we will try to provide reasonable notice.

9. Ownership

Bawabo and its underlying software, design, branding, documentation and other platform materials belong to us or our licensors.

Customers retain ownership of the information they enter into the service.

You give us permission to host, process, transmit and back up customer information only as reasonably necessary to provide, secure and support the service, follow the customer’s lawful instructions, comply with the law and fulfil our contractual obligations.

We may use aggregated or de-identified information that does not identify a person or disclose a customer’s confidential information to understand and improve Bawabo.

You may not use the Bawabo name, logo or other branding without prior permission.

10. Confidentiality

Each party must protect non-public business, technical and other confidential information received from the other party and may use it only to perform or receive the service, exercise rights under these Terms, or comply with law.

Customer information is confidential information. We may give access to personnel and service providers who need it for an authorised purpose and are subject to suitable confidentiality obligations.

Confidentiality obligations do not apply to information that is lawfully public, already known without restriction, independently developed, or lawfully received from another source. A party required by law to disclose confidential information should, where legally permitted, give reasonable notice before disclosure.

11. Suspension and termination

You may stop using Bawabo or request closure of your account at any time, subject to any outstanding payments or contractual obligations.

We may suspend or terminate access where:

  • Fees remain unpaid.
  • These Terms have been seriously or repeatedly breached.
  • The service is being used unlawfully.
  • The account creates a security or operational risk.
  • We are required to do so by law.
  • Continuing to provide the service is no longer reasonably possible.

Where appropriate, we will provide notice and an opportunity to resolve the issue before termination.

Following termination, customer information may be deleted, anonymised or retained for a limited period in accordance with our Privacy Policy, legal obligations and backup procedures.

Customers should export any information they need before closing their account. Where reasonably practicable, we will provide a customer with an opportunity to export its information before deletion, unless access has been restricted for security or legal reasons.

12. Disclaimers

Bawabo is provided as a visitor-management and record-keeping tool.

We do not guarantee:

  • The identity or trustworthiness of any visitor.
  • That information entered by a user is accurate.
  • That use of Bawabo will prevent theft, injury, unauthorised access or other security incidents.
  • That the platform will meet every customer’s legal, security or operational requirements.

Customers remain responsible for their premises, personnel, visitors and access-control decisions.

Nothing in these Terms excludes any right or remedy that cannot legally be excluded.

13. Limitation of liability

To the extent permitted by law, Bawabo will not be responsible for indirect or consequential losses, loss of profits, loss of business, loss of reputation or loss caused by decisions made using inaccurate information entered by a customer or user.

Our total liability arising from the service will not exceed the subscription fees paid by the affected customer during the six months immediately before the event giving rise to the claim.

The limitations in this section do not apply to fraud, fraudulent misrepresentation, wilful misconduct or any liability that cannot lawfully be limited or excluded.

14. Changes to these Terms

We may update these Terms to reflect changes to the service, our business practices or applicable law.

The updated version will be published on the Bawabo website or platform with a revised effective date. Before a material change takes effect, we will give registered customers reasonable notice by email, through the platform or both. A shorter notice period may be necessary for a legal, security or urgent operational reason.

If you do not agree to revised Terms, you must stop using the service and may cancel the affected subscription before the revised Terms take effect. Continued use of the service on or after the stated effective date, after notice has been given, means that you accept the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of Kenya.

Before starting formal proceedings, both parties should first attempt to resolve any dispute through good-faith discussions.

If the dispute cannot be resolved, it may be submitted to the courts of competent jurisdiction in Kenya.

16. General terms

Neither party is responsible for a failure or delay caused by an event beyond its reasonable control, provided that the affected party takes reasonable steps to limit the effect and resume performance. This does not excuse an obligation to pay an amount already due.

You may not assign or transfer these Terms without our prior written consent. We may assign them as part of a merger, restructuring, sale of the business or transfer of the service, provided that doing so does not materially reduce your rights.

Formal notices under these Terms may be sent to the account email address, displayed through the platform, or sent to the contact details in section 17. Customers must keep their contact details current.

If any provision is found unenforceable, the remaining provisions will continue in effect. A failure or delay in enforcing a right is not a waiver of that right.

These Terms, the selected plan or order and any other agreement expressly incorporated into them form the entire agreement about the service and replace earlier discussions about the same subject. If they conflict, a separately signed agreement prevails over these Terms, followed by the applicable plan or order and then these Terms.

Provisions concerning payment obligations, ownership, confidentiality, disclaimers, liability, disputes and any terms that by their nature should continue will survive termination.
